Bronstein, Gewirtz & Grossman is a corporate litigationboutique, which also serves as trusted general counsel to small and mid-sizebusiness organizations. Our primary expertise is the aggressive pursuit oflitigation claims on behalf of our clients. In addition to commerciallitigation, the firm's expertise includes general corporate work, privatesecurities offerings, patent and trademark matters and employment.

We are integral members of our clients' management teams. We assist clients inbusiness tasks, such as the drafting of business plans and introducing clientsto potential investors, and thereby add value beyond the strict confines of thelegal arena.

OUR PRACTICE

Corporate & Securities Litigation

The firm has considerable experience in litigation involving corporatecontrol issues and securities matters, as well as general commercial disputes.We routinely represent investors in private placements suing issuers who refuseto remove restrictive legends clients' shares. We successfully defended apublicly-traded Internet provider in a class action alleging false advertisingwith respect to customer support and unlimited access. We represented a New Yorkforeign language newspaper in a litigation in which we obtained an injunctionagainst one group of shareholders attempting to freeze our clients out ofmanagement.

Intellectual Property

We represent clients, especially in the Internet and software areas, toprotect their intellectual property through patent and trademark application. Weaudit our clients' intellectual property and advise clients as to whatcombination of patent, trademark, copyright or contractual non-disclosureprotection is appropriate. When necessary, we bring suit to protect our clients'intellectual property.

Corporate and Securities Transactions

We have represented numerous Internet start-ups in Regulation D privatesecurities offerings. The firm represents clients in corporate mergers andacquisitions, generally between $1 million and $5 million in total value. Werepresented a national Internet provider in its acquisition of a number ofregional providers. We are general counsel to an internationaltelecommunications switching concern, structuring its contractual relations withalliance partners worldwide. We have negotiated dozens of e-commerce andsoftware related agreements, including software bundling, web-site co-marketingand on-line services resale agreements.

Labor & Employment

We advise our clients to implement a human resources policy designed tominimize the risk of discrimination, sexual harassment and other labor-relatedclaims. We represent clients in both courts and administrative bodies inconnection with employment disputes.
